Terms and Conditions of Sale

1. Scope

These Terms and Conditions of Sale (T&Cs) apply to all services provided by Cyclone Media (hereinafter “the Provider”) to its clients (hereinafter “the Client”), unless otherwise agreed in writing.

2. Estimates – Orders – Project Start

Any order implies full acceptance of these T&Cs. An estimate or proforma invoice accepted by email or signature constitutes a binding agreement. Work will only begin once a deposit of 50% of the total amount has been received, unless otherwise agreed.

3. Payment Terms

– 50% upfront to start the project
– 50% upon delivery
Final delivery (website online, access or source files) is subject to full payment.

Invoices are due within 7 calendar days unless otherwise stated. In case of late payment, a 10% late fee may apply, plus a €40 administrative fee, in accordance with Spanish commercial law (Ley 3/2004). Additional interest charges may also apply.

4. Cancellation – Abandonment – Delays

If the Client cancels or delays the project:
– Before any work begins: 20% of the total is due for planning and booking.
– After work has started: the 50% deposit is non-refundable.
– No feedback for more than 30 days: the project is considered delivered, and the remaining balance becomes immediately due.

5. Content Supply

The Client agrees to deliver all required content (text, visuals, logins) in a timely manner. Delays of more than 15 days may result in:
– A revised timeline without guarantee
– Or a partial billing based on completed work

6. Revisions

Unless otherwise stated, projects include 2 rounds of revisions for minor changes. Additional requests will be billed at the current hourly rate.

7. Delivery and Online Launch

The project is considered delivered once the final site has been built, tested and shared for validation. The final online launch or file delivery will only occur after full payment is received.

8. No Liability Without Maintenance Plan

If the Client does not subscribe to Cyclone Media’s hosting and maintenance plan, the Provider cannot be held liable for:
– Errors, bugs, security breaches
– Compatibility issues or future technical breakdowns
Any post-delivery intervention will be billed separately.

9. Intellectual Property

All rights and ownership of delivered materials (websites, visuals, code) are transferred to the Client after full payment. Until then, all content remains the sole property of Cyclone Media.

10. Responsibility

The Provider cannot be held liable for any issue caused by third-party services, external hosting, or client-side modifications after delivery.

11. Jurisdiction and Governing Law

These Terms are governed by Spanish law. In case of dispute, both parties will attempt amicable resolution. If unsuccessful, the courts of Barcelona shall have exclusive jurisdiction.
